Legal Officer – Corporate & Commercial Law

About the role

SMARTEC Electronics Ltd is looking for a proactive Legal Officer to manage a wide range of commercial contracts, ensure regulatory compliance, and provide day‑to‑day legal support to all business units. The role will involve close collaboration with procurement, sales, HR, finance and logistics teams to mitigate legal risks and support strategic decisions.

Key responsibilities

• Draft, review, negotiate and maintain commercial contracts such as distributor, supplier, procurement, service, lease agreements, MOUs and LOIs, ensuring compliance with Ugandan law and the Competition Act 2023.
• Monitor changes in Ugandan legislation (Competition Act, Companies Act, Contracts Act, Employment Act) and issue timely compliance alerts and policy recommendations.
• Provide legal support to HR on labour law matters, including employment contracts, disciplinary procedures, termination and redundancy processes.
• Assist in handling commercial disputes, debt recovery, consumer complaints and coordinate with external law firms to manage litigation and arbitration costs.
• Offer practical legal advice to procurement, sales, finance, HR and logistics on product liability, consumer protection and intellectual property issues.

Required profile

• Bachelor of Laws (LLB) or higher from a recognized university; a Ugandan practising certificate (Advocate of the High Court) is preferred.
• Approximately three years of experience in a law firm or corporate legal department, preferably in commercial, contract or corporate law.
• Fluent English with strong legal drafting and business negotiation skills; proficiency in Kiswahili or Chinese is an advantage.
• Demonstrated ability to manage contract registers, track obligations and maintain organized legal files.
