Head Legal and Company Secretary

About the role

The Head Legal and Company Secretary reports directly to the Managing Director and sits on FINCA Uganda’s Executive Committee. The role combines leadership of the legal function with corporate governance responsibilities, ensuring legal risk is managed across all operations.

Key responsibilities

• Provide comprehensive legal advice to senior management and the Board of Directors.
• Oversee all law‑related areas, focusing on banking and financial regulatory matters, compliance, policy development, employment, litigation and contracts.
• Identify legal risks and propose mitigation mechanisms.
• Advise the Board on authority limits, decision‑making processes and legal implications.
• Organise and attend Shareholders, Board and Committee meetings, ensuring compliance with statutory requirements.
• Prepare agendas, send notices, draft minutes and resolutions, and maintain attendance records.
• Coordinate director appointments and removals, securing necessary approvals.
• Ensure adherence to FINCA’s Code of Conduct, policies and applicable laws.

Required profile

• Reports to the Managing Director and is a member of the Executive Committee.
• Acts as Corporate Secretary for FINCA Uganda.
• Responsible for overall legal risk management and corporate governance.
