Head Legal and Company Secretary

About the role

FINCA Impact Finance is seeking a senior legal professional to lead its legal function and corporate governance in Uganda. Reporting to the Managing Director and sitting on the Executive Committee, the Head Legal and Company Secretary will provide strategic legal advice and manage overall legal risk for the organization.

Key responsibilities

• Provide comprehensive legal and strategic advice to FINCA’s Management and Board of Directors.
• Oversee all law‑related areas, focusing on banking and financial regulatory matters, legal compliance, policy development, employment and labor issues, litigation and contracts.
• Identify legal risks associated with operations and propose mitigation mechanisms.
• Ensure a culture of integrity and transparency by overseeing implementation of policies, laws, and FINCA’s Code of Conduct.
• Act as Corporate Secretary, advising the Board on authority scope and corporate governance matters.

Required profile

• Extensive experience leading legal functions within the banking or micro‑finance sector.
• Proven expertise in corporate governance and regulatory compliance.
• Strong knowledge of Ugandan law and financial regulations.
• Ability to work closely with senior management and board members.
